What is an accredited investor?

Under SEC Rule 501 of Regulation D, an accredited investor is an individual who meets at least one of the following criteria:

Income: Individual income exceeding $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the two most recent years, with a reasonable expectation of the same income level in the current year.

Net worth: Individual net worth, or joint net worth with a spouse or spousal equivalent, exceeding $1,000,000, excluding the value of your primary residence.

Professional credentials: Holders in good standing of certain professional certifications, including the Series 7, Series 65, or Series 82 licenses.

Certain entities — including those with over $5,000,000 in assets, and entities in which all equity owners are accredited investors — also qualify.
